This Quotation Estimate is issued by AutoTech Precision Engineering Co., Ltd. to provide comprehensive Automotive Engineer consulting and technical services for the development, validation, and optimization of next-generation electric vehicle (EV) powertrain components. All services described herein will be performed by a certified Automotive Engineer operating out of our primary facility in Japan Tokyo, specifically within the Shibuya-ku district, in full compliance with Japanese Industrial Standards (JIS) and the regulations set forth by the Japan Automobile Manufacturers Association (JAMA).

The Automotive Engineer assigned to this engagement will hold a minimum of fifteen (15) years of progressive experience in powertrain systems, thermal management, and high-voltage battery architecture. The scope encompasses design review, finite element analysis (FEA), prototype testing coordination, and final production-readiness assessment for the client's 2027 model-year EV platform revision.

3.1 Validity: This Quotation Estimate shall remain valid for thirty (30) calendar days from the date of issue. Any request for services beyond this period will require a revised Quotation Estimate reflecting current market rates for Automotive Engineer labor in Japan Tokyo.

3.2 Payment Schedule: Payment shall be made in three installments: 30% upon contract execution, 40% upon completion of Week 12 milestones, and 30% upon delivery of the final technical report. All payments shall be made via bank transfer to the account designated by AutoTech Precision Engineering Co., Ltd., Tokyo, Japan.

3.3 Intellectual Property: All designs, analyses, and documentation produced by the Automotive Engineer under this engagement shall become the exclusive property of the client upon full payment. AutoTech Precision Engineering Co., Ltd. retains the right to reference the project in anonymized portfolio materials.

3.4 Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary processes, and business information exchanged during the course of this project, in accordance with the Japanese Act on the Protection of Confidential Information.

3.5 Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, which are particularly relevant given the seismic and typhoon activity in the Japan Tokyo region.

3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).

This Quotation Estimate assumes that the client will provide all necessary vehicle specifications, CAD data, and test protocols prior to the commencement of Week 1. The Automotive Engineer will operate from the AutoTech facility in Japan Tokyo and will travel to the client's Chiyoda-ku site as needed. Costs for international travel, third-party laboratory testing beyond the scope listed above, and any design rework resulting from client-initiated specification changes after Week 6 are excluded from this estimate and will be subject to a separate Quotation Estimate.
