1. Client Information

This Quotation Estimate is prepared by Meridian Automotive Engineering Pte. Ltd. to provide comprehensive Automotive Engineer consultancy and technical services to Orion Motors Holdings (S) Pte. Ltd. All services described herein shall be delivered within the jurisdiction of Singapore Singapore, in full compliance with the Land Transport Authority (LTA) regulations, the Singapore Standards (SS), and applicable industry codes of practice. The Automotive Engineer engagement covers the following deliverables:
- Full vehicle diagnostics and performance analysis for a fleet of 45 commercial vehicles registered in Singapore Singapore.
- Design review and engineering validation of a customised electric vehicle (EV) conversion platform intended for last-mile logistics operations within Singapore Singapore.
- Preparation of technical documentation, including engineering drawings, material specifications, and compliance reports for submission to the LTA Singapore Singapore.
- On-site supervision and quality assurance during the physical conversion and assembly process at the client's facility in Jurong, Singapore Singapore.

4. Payment Terms
Payment for this Quotation Estimate shall be made in the following instalments, all denominated in Singapore Dollars (SGD) and payable to Meridian Automotive Engineering Pte. Ltd., Singapore Singapore:
- 30% advance payment (SGD 115,210.28) upon acceptance of this Quotation Estimate and execution of the service agreement.
- 40% milestone payment (SGD 153,613.68) upon completion of the EV Conversion Platform Design & Validation phase (Item 02).
- 30% final payment (SGD 115,210.29) upon successful roadworthiness certification and handover of all technical documentation.
All invoices are payable within thirty (30) calendar days from the date of issue. Late payments shall attract interest at the rate of 1.5% per month, in accordance with the Late Payment of Outstanding Debts Act (Singapore Singapore).
5. Terms & Conditions
- This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, all rates and availability of the Automotive Engineer team are subject to revision.
- All Automotive Engineer services shall be performed in Singapore Singapore and shall comply with the Engineering Practice Act, the LTA Vehicle Regulations, and all applicable Singapore Singapore statutory requirements.
- The client shall provide reasonable access to facilities, vehicles, and personnel in Singapore Singapore to enable the Automotive Engineer to carry out the scoped work without undue delay.
- Any changes to the scope of work beyond the parameters outlined in this Quotation Estimate shall be subject to a written variation order and a revised cost assessment.
- Intellectual property generated specifically for the client under this engagement shall vest in the client upon full payment. General methodologies, templates, and proprietary tools of the Automotive Engineer team remain the property of Meridian Automotive Engineering Pte. Ltd.
- This Quotation Estimate is governed by the laws of Singapore Singapore. Any disputes shall be resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in Singapore Singapore.
6. Acceptance
By signing below, the client acknowledges and accepts this Quotation Estimate for Automotive Engineer services to be rendered in Singapore Singapore. This acceptance constitutes a binding agreement between both parties subject to the terms and conditions stated herein.
