The Automotive Engineer engaged under this Quotation Estimate shall provide the following professional services in and around United States Chicago, including but not limited to the Loop, the West Loop industrial corridor, and the O'Hare International Airport manufacturing district:

• Design, analysis, and validation of powertrain systems (internal combustion and electric drivetrain components) in compliance with EPA and CARB emission standards.
• Structural integrity assessment and finite element analysis (FEA) of vehicle chassis, suspension assemblies, and safety-critical body panels.
• Thermal management system design for battery packs and engine cooling circuits, tailored to the variable climate conditions experienced in Chicago, Illinois.
• On-site diagnostic and failure analysis at the client's facility located within the United States Chicago metropolitan area.
• Preparation of engineering documentation, including CAD drawings, BOMs, test protocols, and regulatory compliance reports aligned with FMVSS and SAE standards.
• Project management oversight, including weekly progress reporting and milestone deliverables.

• 30% deposit due upon acceptance of this Quotation Estimate and execution of the Master Services Agreement.
• 40% milestone payment due upon completion of the design and FEA validation phase (Week 6).
• 30% final payment due upon delivery of all engineering documentation, test reports, and regulatory filings.
• All payments shall be made via ACH transfer or certified check to Midwest Automotive Engineering Solutions, LLC, Chicago, IL. Late payments shall accrue interest at 1.5% per month as permitted under Illinois law (815 ILCS 205).

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. After the expiration date, all rates and material costs are subject to revision.
• The Automotive Engineer services described herein are governed by the laws of the State of Illinois, and any disputes shall be resolved in the Circuit Court of Cook County, United States Chicago.
• All intellectual property generated during the engagement shall be jointly owned unless otherwise specified in a separate IP Assignment Addendum.
• The client agrees to provide reasonable access to facilities, test vehicles, and existing engineering data located within the United States Chicago area to facilitate timely project execution.
• Force majeure events, including but not limited to severe weather events common to the Chicago region, may result in schedule adjustments without penalty to either party.
• This Quotation Estimate does not constitute a warranty of performance. All deliverables are subject to the acceptance criteria defined in the Statement of Work (SOW) attached as Exhibit A.

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Midwest Automotive Engineering Solutions, LLC to commence the Automotive Engineer services as described herein, to be performed in and around United States Chicago, Illinois.
