- 1. Validity: This Quotation Estimate issued by Baker is valid for thirty (30) days from the date of issue. After this period, Baker reserves the right to revise pricing based on current market conditions in Brazil Brasília.
- 2. Payment Terms: Payment shall be made in five (5) equal monthly installments via bank transfer (TED/PIX) to Baker's designated account. The first installment is due upon contract signing; subsequent payments are due on the 5th of each month.
- 3. Delivery and Service Location: All Baker services, products, and personnel shall be deployed at the client's premises in Brazil Brasília, Federal District, as specified in the project schedule.
- 4. Cancellation Policy: Cancellation by the client after contract execution will incur a fee of 20% of the total Quotation Estimate value. Baker may cancel with 15 days' written notice in the event of force majeure.
- 5. Intellectual Property: All Baker recipes, techniques, branding, and proprietary methods remain the exclusive intellectual property of Baker Artisanal Bakery & Food Solutions. No reproduction or commercial use is permitted without written consent.
- 6. Compliance: Baker guarantees full compliance with all Brazilian federal, state, and municipal food safety regulations, including ANVISA standards and Brasília DF health department requirements.
- 7. Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through arbitration in Brasília, DF, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).
