3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, all prices and availability terms are subject to revision due to fluctuating raw material costs in the Germany Berlin market.
3.2 Payment Terms: Payment is due within fourteen (14) days of invoice date via bank transfer (SEPA) to the account of Berlin Artisan Baker GmbH. A 1.5% monthly late-payment interest applies in accordance with German commercial law (HGB § 288).
3.3 Cancellation: Cancellation of scheduled Baker services must be communicated in writing at least seven (7) calendar days in advance. Cancellations within 72 hours of the scheduled service date will incur a 50% fee of the affected service line.
3.4 Liability & Insurance: Berlin Artisan Baker GmbH maintains full public liability insurance (€ 5,000,000 coverage) and product liability insurance compliant with German statutory requirements. The Baker team operates under full HACCP certification valid for the Germany Berlin jurisdiction.
3.5 Intellectual Property: All proprietary recipes, production methods, and product designs developed under this engagement remain the intellectual property of Berlin Artisan Baker GmbH unless otherwise agreed in a separate written addendum.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
3.7 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or supply chain disruptions affecting the Germany Berlin region.
