3. Scope of Services – Baker Supply & Production
As a certified Baker with over twenty-five years of experience in traditional and modern baking techniques, Müller & Söhne Bäckerei GmbH proposes to provide the following goods and services to the client at their designated locations throughout Germany Munich. This Quotation Estimate covers daily bread and pastry production, custom event catering bakes, and on-site bakery consulting.

5. Delivery & Production Schedule
All baked goods will be produced fresh daily by our team of certified Baker professionals at our production facility located in the Schwabing district of Munich, Germany. Deliveries to client sites across Germany Munich will be made between 04:00 and 07:00 CET, Monday through Saturday. Custom event orders (Item 04) require a minimum of fourteen (14) business days' prior notice. This Quotation Estimate assumes standard production volumes; any deviation exceeding 15% will trigger a revised pricing review within five business days.
6. Terms & Conditions of This Quotation Estimate
- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all prices are subject to revision based on current raw material costs (flour, butter, eggs, sugar) as published by the German Federal Statistical Office (Destatis).
- Payment Terms: Net 30 days from invoice date. Invoices will be issued monthly in arrears. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB), currently 8% above the ECB base rate for business-to-business transactions.
- Quality Assurance: All products comply with EU Regulation (EC) No 852/2004 on food hygiene and the German Food and Feed Code. Our Baker team holds valid health certificates (Gesundheitszeugnis) as required under § 43 of the Infektionsschutzgesetz.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to supply chain disruptions, natural disasters, or government-mandated closures in Munich, Germany.
- Confidentiality: All pricing and operational details contained in this Quotation Estimate are confidential and shall not be disclosed to third parties without written consent from both parties.
- Governing Law: This agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. The exclusive court of jurisdiction shall be the Local Court (Amtsgericht) of Munich, Germany.
- Subcontracting: The Baker services described herein shall be performed by the named entity. No subcontracting of core production activities is permitted without prior written approval from the client.
7. Acceptance & Authorization
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, pricing, and conditions set forth herein. This signature constitutes a binding purchase order for the services and goods described, effective from the start date specified in Section 2. The Baker entity, Müller & Söhne Bäckerei GmbH, confirms its capacity and willingness to fulfill all obligations under this agreement within the city of Germany Munich and its surrounding metropolitan area.
