- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all prices are subject to revision based on raw material costs, particularly flour, butter, and seasonal ingredients sourced from local Italian suppliers.
- Payment Terms: Invoicing will be issued on a monthly basis, payable within thirty (30) days of invoice date via bank transfer to the account details provided. A 1.5% monthly late-payment interest will apply in accordance with Italian commercial law (Codice Civile, Art. 1284).
- Delivery: All products will be delivered to the client's premises in Italy Rome between 06:00 and 08:00 on agreed delivery days. The Baker's team will ensure all items arrive at optimal temperature and freshness. Delivery within the historic centre of Rome is included; deliveries to locations outside Zones A, B, and C will incur an additional surcharge of EUR 12.00 per trip.
- Quality Assurance: As a certified artisan Baker, all products comply with Italian food safety regulations (Regolamento CE 852/2004) and the specific standards set by the Camera di Commercio di Roma. All ingredients are sourced from verified Italian and European suppliers. Gluten-free and organic options are available upon request at a 15% surcharge.
- Cancellation & Termination: Either party may terminate this agreement with sixty (60) days' written notice. In the event of early termination by the client, a penalty equal to 10% of the remaining contract value will be applied. The Baker reserves the right to suspend services in the event of non-payment exceeding fifteen (15) days.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Italy Rome region.
- Confidentiality: All recipes, menu developments, and business information shared during the course of this engagement shall remain strictly confidential and shall not be disclosed to third parties without prior written consent.
- Governing Law: This Quotation Estimate and the resulting service agreement shall be governed by and interpreted in accordance with the laws of the Italian Republic. Any disputes shall be resolved by the competent courts of Rome, Italy.
