- Validity: This Quotation Estimate issued by Baker remains valid for thirty (30) calendar days from the date of issue. After the expiry date, pricing may be subject to revision due to fluctuations in raw material costs, foreign exchange rates, or regulatory changes within Japan Tokyo.
- Payment Terms: A deposit of 40% of the grand total is due upon acceptance of this Quotation Estimate. The remaining 60% shall be payable within fourteen (14) days following successful commissioning and sign-off at the Japan Tokyo installation site. All payments shall be made in Japanese Yen via bank transfer to Baker Corporation Ltd.’s account at Mizuho Bank, Tokyo Central Branch.
- Delivery & Installation: Baker guarantees delivery of all equipment to the designated site in Shibuya-ku, Japan Tokyo, within forty-five (45) business days from the receipt of the deposit. Installation and commissioning shall be completed within ten (10) business days of delivery, subject to site readiness confirmed by the client.
- Warranty: All Baker-branded equipment carries a standard 24-month parts and labor warranty. The extended 36-month warranty package (Item 8) includes quarterly preventive maintenance visits by Baker’s certified technicians stationed in Japan Tokyo.
- Regulatory Compliance: Baker warrants that all equipment supplied under this Quotation Estimate complies with the Electrical Appliance and Material Safety Law (DENAN), the Food Sanitation Act, and all applicable Tokyo Metropolitan Government building and fire safety codes.
- Force Majeure: Baker shall not be held liable for delays caused by natural disasters (including typhoons, earthquakes, or volcanic activity common to the Japan Tokyo region), government-mandated shutdowns, or other events beyond reasonable control.
- Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be submitted to the Tokyo District Court under the jurisdiction of Japan Tokyo.
- Confidentiality: Both parties agree to treat the commercial terms contained in this Quotation Estimate as confidential and shall not disclose pricing or technical specifications to third parties without prior written consent from Baker.
