Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After 15 July 2025, pricing may be subject to revision due to fluctuations in raw material costs within the Senegal Dakar market.
Payment Terms: A 40% advance payment is due upon contract signature. The remaining 60% shall be invoiced monthly in arrears, payable within fifteen (15) business days of invoice receipt. All payments shall be made in XOF (West African CFA Franc) via bank transfer to the Baker account at BICEC Bank, Dakar, Senegal.
Delivery and Performance: All Baker products and services shall be delivered to the client's premises in Almadies, Senegal Dakar, between 04:00 and 07:00 AM daily. On-site Baker personnel shall report to the facility at 03:30 AM.
Warranty and Quality: Baker guarantees that all products meet the highest artisanal standards. Any batch found to be non-compliant with the agreed specifications shall be replaced at no additional cost within two (2) hours of notification.
Regulatory Compliance: Baker assumes full responsibility for obtaining and maintaining all necessary permits, licenses, and health certifications required to operate a commercial bakery in Senegal Dakar, including the Autorisation d'Exercice from the Mairie de Dakar and DASS compliance.
Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Senegal Dakar, or supply chain disruptions affecting the West African region.
Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Dakar, Senegal.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the commercial terms, pricing, and operational details contained in this Quotation Estimate.

Note: This Quotation Estimate is a non-binding preliminary document. It does not constitute a final contract or purchase order. A formal Service Agreement and Purchase Order must be executed by both parties before any Baker services commence in Senegal Dakar. All prices are exclusive of any additional taxes or levies that may be imposed by the Senegalese government after the date of this estimate.
