3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision based on raw material cost fluctuations in the Spain Madrid market.
3.2 Payment Terms: Payment shall be made by direct bank transfer (SEPA) within fifteen (15) calendar days from the date of invoice issuance. A 1.5% monthly late-payment interest rate shall apply in accordance with Spanish Royal Decree-Law 4/2013 on measures to combat late payment in commercial transactions.
3.3 Cancellation and Termination: Either party may terminate the agreement with a written notice of sixty (60) days. In the event of early termination by the client without cause, a penalty equivalent to 10% of the remaining contract value shall be applied.
3.4 Quality Guarantee: The Baker and all team members deployed to the client's premises in Spain Madrid shall hold valid food handler certificates (Carnet de Manipulador de Alimentos) issued by the Comunidad de Madrid. All products shall be delivered at a maximum of four (4) hours from the completion of the baking process.
3.5 Insurance and Liability: Panadería Artesanal Madrid S.L. maintains comprehensive public liability insurance with a coverage of €2,000,000, as well as professional indemnity insurance, both valid throughout the territory of Spain Madrid and the broader Spanish national jurisdiction.
3.6 Intellectual Property: All proprietary recipes, baking techniques, and product formulations developed by the Baker team remain the exclusive intellectual property of Panadería Artesanal Madrid S.L. and shall not be reproduced or disclosed to third parties.
3.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of Spain Madrid and the Spanish Civil Code. Any disputes shall be submitted to the competent courts of Madrid, Spain.
