This Quotation Estimate is formally issued by Baker Industrial Solutions & Engineering Corp. (hereinafter referred to as "Baker") in response to the Request for Proposal RFP-2025-0318 submitted by Corporación Petrolera del Caribe, C.A. The scope of this Quotation Estimate covers the complete design, engineering, procurement, installation, and commissioning of an industrial process control system to be deployed at the client's primary operational facility located in Venezuela Caracas, specifically within the industrial zone of Los Teques, Miranda State.
Baker has conducted a thorough site assessment in Venezuela Caracas on May 28, 2025, and has incorporated all local regulatory requirements, including compliance with the Venezuelan Ministry of Energy and Mines (Ministerio de Energía y Minas) standards, as well as the technical specifications mandated by the local electrical authority Corpoelec for industrial installations in the Caracas metropolitan area.

- Validity: This Quotation Estimate issued by Baker is valid for thirty (30) calendar days from the date of issue. After this period, Baker reserves the right to revise pricing due to fluctuations in international equipment costs, exchange rate variations in Venezuela, or changes in import regulations.
- Payment Terms: 40% advance payment upon contract signing, 35% upon delivery of all equipment to the Venezuela Caracas site, and 25% upon successful completion of final acceptance testing. All payments shall be made in US Dollars via international wire transfer to Baker's designated account.
- Delivery and Installation Timeline: Baker commits to a total project duration of fourteen (14) weeks from the date of contract execution, with all physical work to be performed at the client's facility in Venezuela Caracas.
- Warranty: Baker provides a comprehensive twelve (12) month warranty on all supplied equipment and workmanship. The Baker local service center in Caracas will respond to any service call within forty-eight (48) hours.
- Applicable Law: This Quotation Estimate and any resulting contract shall be governed by the commercial laws of the Republic of Venezuela. Any disputes shall be resolved through arbitration in Caracas in accordance with the rules of the Venezuelan Chamber of Commerce.
- Exclusions: This estimate does not include civil structural modifications to the building, utility upgrades beyond the point of connection, or any work not explicitly listed in Section 2 above. Any additional scope will be subject to a supplementary Quotation Estimate from Baker.
- Force Majeure: Baker shall not be held liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or port closures affecting the Venezuela Caracas region.
By signing below, the client acknowledges receipt of this Quotation Estimate from Baker and agrees to the terms, conditions, and pricing outlined herein. This document constitutes a binding offer from Baker Industrial Solutions & Engineering Corp. for the execution of the described project in Venezuela Caracas.
