4.1 Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Banker reserves the right to revise fees due to market fluctuations in the Argentine financial sector, changes in BCRA regulations, or shifts in the USD/ARS exchange rate.
4.2 Payment Terms: Invoices shall be issued monthly for retainer-based services and upon milestone completion for one-time engagements. Payment is due within fifteen (15) calendar days of invoice date via bank transfer to the account designated by the Banker at Banco de la Nación Argentina, Sucursal Buenos Aires. Late payments shall accrue interest at the BCRA reference rate plus 2% per month.
4.3 Currency & Exchange: Fees quoted in USD shall be converted to ARS at the official BCRA exchange rate prevailing on the date of invoice issuance. The Client acknowledges that the Argentine peso is subject to devaluation risk, and the Banker is not liable for exchange-rate-driven cost variations.
4.4 Confidentiality: The Banker shall maintain strict confidentiality over all financial data, transaction records, and strategic information provided by the Client in Argentina Buenos Aires, in compliance with Argentine data protection law (Ley 25.326) and professional banking secrecy obligations.
4.5 Professional Liability: The Banker’s liability under this Quotation Estimate shall be limited to the total fees paid by the Client. The Banker acts in an advisory capacity and does not guarantee investment returns, loan approvals, or regulatory outcomes.
4.6 Governing Law & Jurisdiction: This Quotation Estimate and any resulting engagement shall be governed by the laws of the Argentine Republic. Any disputes shall be resolved by the competent commercial courts of the City of Buenos Aires, Argentina.
