This Quotation Estimate is issued by Harbour Financial Advisory Group Pty Ltd (hereinafter referred to as the "Service Provider") to Meridian Logistics & Transport Holdings Pty Ltd (hereinafter referred to as the "Client") in relation to the engagement of a dedicated Banker professional to deliver comprehensive corporate banking, treasury management, and financial advisory services. This Quotation Estimate outlines the full scope of Banker services to be rendered in Australia Sydney, the associated professional fees, and the commercial terms governing the engagement. All services described herein are to be performed in accordance with the Banking Act 1959 (Cth), the Australian Securities and Investments Commission (ASIC) regulatory framework, and the Australian Prudential Regulation Authority (APRA) prudential standards applicable to banking operations in Australia Sydney.

3.1 This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Upon expiry, the Service Provider reserves the right to revise the Banker service rates and associated costs without prior notice.

3.2 All fees quoted in this Quotation Estimate are in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST), which is applied at the current rate of 10% as prescribed by the Australian Taxation Office for transactions in Australia Sydney.

3.3 Payment terms: 50% of the total Quotation Estimate value is due upon execution of the service agreement; the remaining 50% shall be invoiced monthly in arrears, payable within fourteen (14) business days of invoice date.

3.4 The Banker engaged under this Quotation Estimate shall be a licensed financial services professional holding an Australian Financial Services Licence (AFSL) or operating under the Service Provider's AFSL. The Banker shall maintain professional indemnity insurance of no less than AUD $10,000,000.

3.5 The Service Provider shall not be liable for any consequential loss, loss of profit, or indirect damages arising from the Banker services, except in cases of gross negligence or wilful misconduct. Liability is capped at the total fees paid under this Quotation Estimate.

3.6 This Quotation Estimate is governed by the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes shall be resolved through the courts of Australia Sydney or by arbitration under the rules of the Australian Dispute Resolution Centre.

3.7 The Client acknowledges that the Banker services described in this Quotation Estimate constitute professional financial advisory services and do not constitute a guarantee of banking outcomes, credit approvals, or investment returns.

3.8 Any variation to the scope of Banker services must be agreed in writing by both parties and shall be subject to a supplementary Quotation Estimate issued by the Service Provider.

By signing below, the Client accepts this Quotation Estimate in full and authorises the Service Provider to commence the Banker services as described herein. This Quotation Estimate, once accepted, forms part of the binding service agreement between the parties.
