4. Payment Terms
All fees shall be invoiced monthly in advance via TED (Transferência Eletrônica Disponível) or DOC transfer to the account of São Paulo Financial Advisory Group at Banco Itaú, Ag. 0452, Conta 88.771-3, São Paulo, SP. Payment is due within fifteen (15) calendar days of invoice date. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, in accordance with Brazilian commercial law (Código Civil, Art. 412).
5. Terms & Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and terms are subject to revision based on prevailing market conditions in São Paulo and the broader Brazilian financial sector.
- The Banker services described herein are governed by the regulations of the Central Bank of Brazil (BACEN) and the Brazilian Securities and Exchange Commission (CVM). The service provider holds the requisite licenses and registrations to operate as a financial intermediary in the state of São Paulo.
- Confidentiality: All financial data, transaction records, and strategic information shared by the client shall be treated as strictly confidential in compliance with Brazil's General Data Protection Law (LGPD — Lei nº 13.709/2018) and applicable banking secrecy provisions (Lei nº 4.595/1964).
- Termination: Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, a pro-rata fee for services rendered up to the termination date shall be due.
- Dispute Resolution: Any disputes arising from this Quotation Estimate and the subsequent service agreement shall be resolved through arbitration in São Paulo, SP, Brazil, under the rules of CAMARB (Câmara de Arbitragem do Mercado), in the Portuguese language.
