The Banker engagement described herein is tailored to the regulatory framework established by the Superintendencia Financiera de Colombia (SFC) and complies with all applicable banking regulations, anti-money laundering directives (Ley 1333 de 2009), and the tax obligations governed by the Estatuto Tributario vigente in the city of Bogotá and the broader Colombian financial system.

The Banker engaged under this Quotation Estimate shall provide the following professional services to the client, all to be executed in or on behalf of the client's operations in Colombia, Bogotá:

• Corporate Banking Advisory: Structuring of credit facilities, trade finance instruments, and working capital solutions compliant with Colombian banking regulations.
• Transaction Execution: Facilitation of domestic and international wire transfers, letter of credit issuance, and documentary collections through authorized Colombian banking institutions headquartered in Bogotá.
• Regulatory Compliance & Reporting: Preparation and submission of mandatory reports to the Superintendencia Financiera de Colombia, including but not limited to Formulario 1010 and periodic financial disclosures.
• Portfolio & Treasury Management: Optimization of the client's liquidity position, foreign exchange hedging strategies, and investment allocation within the Colombian financial market.
• On-Site Consultation in Bogotá: A minimum of four (4) in-person meetings per month at the client's premises in Bogotá, Colombia, or at the Banker's office located in the financial district of the city.
• Emergency Banking Support: Availability for urgent banking matters, including account freezes, dispute resolution with Colombian banks, and expedited regulatory filings, on a 24/7 basis.

Note: All fees are exclusive of Value Added Tax (IVA) at the current Colombian rate of 19%, unless otherwise stated. USD conversions are indicative based on the exchange rate published by the Banco de la República de Colombia on the date of this Quotation Estimate.

This Quotation Estimate assumes that the client will provide all necessary documentation, corporate resolutions, and regulatory authorizations in a timely manner. The following are explicitly excluded from the quoted fees:

• Third-party bank charges, wire transfer fees, and correspondent banking costs levied by financial institutions in Colombia or abroad.
• Legal fees for litigation or arbitration proceedings, which shall be quoted separately by independent Colombian legal counsel in Bogotá.
• Travel expenses beyond the city limits of Bogotá should the Banker be required to attend sites in other Colombian departments.
• Any services arising from force majeure events, including but not limited to natural disasters, government-mandated banking closures, or systemic financial crises in Colombia.

This Quotation Estimate constitutes a formal offer for the engagement of the Banker services described herein for use in Colombia, Bogotá. Acceptance shall be effected by the client's authorized signatory executing the acceptance clause below and returning a signed copy to the firm within the validity period. Upon acceptance, this document shall form part of the definitive Service Agreement between the parties and shall be governed by the commercial laws of the Republic of Colombia, with jurisdiction vested in the commercial courts of Bogotá, D.C.
