1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing market conditions in DR Congo Kinshasa.
2. All Banker services described herein shall be performed in strict compliance with the banking regulations of the Democratic Republic of Congo, including but not limited to the directives of the Banque Centrale du Congo (BCC) and the applicable provisions of the Congolese Commercial Code.
3. Payment terms: 40% advance payment upon acceptance of this Quotation Estimate, 30% upon completion of the first six (6) months of Banker engagement, and the remaining 30% upon successful completion of the full twelve (12) month contract period in Kinshasa, DR Congo.
4. All payments shall be made in United States Dollars (USD) via wire transfer to the designated account of the Banker services provider, or in Congolese Francs (CDF) at the prevailing BCC reference exchange rate on the date of payment.
5. The Banker and all associated banking personnel shall maintain full professional confidentiality regarding all client financial data, transaction records, and proprietary information obtained during the course of services rendered in DR Congo Kinshasa.
6. Any force majeure event, including but not limited to political instability, natural disasters, or government-imposed restrictions affecting banking operations in Kinshasa, DR Congo, shall suspend obligations under this Quotation Estimate without penalty to either party.
7. This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties and countersigned by the authorized representatives of the Banker services provider and the client.
8. All disputes arising from the interpretation or execution of this Quotation Estimate shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the applicable Congolese arbitration framework.
9. The Banker engagement is subject to annual performance review. Either party may terminate the agreement with sixty (60) days written notice, subject to completion of all outstanding regulatory filings with the BCC.
