- Validity: This Quotation Estimate shall remain valid for thirty (30) calendar days from the date of issue. After expiry, all rates and service terms are subject to revision by the Banker.
- Payment Terms: Invoices issued by the Banker are payable within fourteen (14) calendar days of invoice date via SEPA bank transfer to the account held at the Client's designated bank in Germany Munich. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Engagement Period: The services outlined in this Quotation Estimate cover a twelve (12) month engagement period commencing on the date of written acceptance by the Client.
- Confidentiality: The Banker undertakes to maintain strict confidentiality in accordance with Section 234 of the German Commercial Code (HGB) and the General Data Protection Regulation (GDPR/DSGVO). All client data processed in Germany Munich shall be stored on servers located within the European Union.
- Liability: The Banker's liability for damages arising from the performance of services described in this Quotation Estimate shall be limited to the total fee amount specified herein, except in cases of gross negligence or willful misconduct as defined under German law.
- Governing Law: This Quotation Estimate and any resulting contractual relationship shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive place of jurisdiction shall be the competent court in Germany Munich.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, war, or regulatory changes enacted by BaFin or the European Central Bank.
By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure set forth herein for the engagement of the Banker for the services described. The Banker confirms availability to commence services within ten (10) business days of acceptance.
