All fees set forth in this Quotation Estimate shall be invoiced monthly in arrears. Payment is due within twenty-one (21) calendar days of the invoice date via wire transfer to the Provider's designated account at a licensed bank in Kazakhstan Almaty. The initial mobilization fee of 20% of the total contract value shall be payable upon execution of the definitive service agreement. Late payments shall accrue interest at the rate of 1.5% per month, consistent with prevailing commercial banking rates in Almaty.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Thereafter, fees and availability of the designated Banker are subject to reconfirmation.
- The Banker shall operate in strict accordance with the Banking Code of the Republic of Kazakhstan, NBK licensing requirements, and all applicable anti-money-laundering (AML) and counter-terrorism financing (CTF) regulations in force in Kazakhstan Almaty.
- All work product, reports, and advisory memoranda produced under this engagement shall remain the exclusive intellectual property of the Client upon full payment of the fees specified herein.
- The Provider reserves the right to substitute the assigned Banker with a professional of equivalent or superior seniority, subject to the Client's written approval, should unforeseen circumstances arise.
- Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government sanctions, or systemic banking disruptions in Kazakhstan.
- This Quotation Estimate does not constitute a binding contract. A definitive Service Agreement, incorporating the terms herein, must be executed by both parties before any Banker services commence in Kazakhstan Almaty.
- All disputes arising from or in connection with this engagement shall be resolved through arbitration under the rules of the International Arbitration Centre at the Astana International Financial Centre (AIFC), Kazakhstan.
By signing below, both parties acknowledge that they have read, understood, and agree to the terms, conditions, and fee structure outlined in this Quotation Estimate for the engagement of a Banker in Kazakhstan Almaty. This acceptance does not obligate either party to execute the definitive agreement but confirms mutual intent to proceed toward a formal contractual arrangement.
