1. Purpose and Scope of This Quotation Estimate

This Quotation Estimate is issued by Capital Banking & Advisory Group Ltd to Harbourview Property Holdings Ltd in relation to the engagement of a dedicated Banker to provide comprehensive corporate banking, treasury management, and financial advisory services within the Wellington region of New Zealand. The Banker assigned to this engagement will operate out of our Wellington office on Featherston Street and will serve as the primary point of contact for all banking transactions, credit facilities, and strategic financial planning activities on behalf of the client.

This Quotation Estimate outlines the full scope of professional services, associated fees, and terms governing the engagement. All pricing is quoted in New Zealand Dollars (NZD) and includes Goods and Services Tax (GST) at the prevailing rate of 15% as administered by the Inland Revenue Department of New Zealand.

3. Terms and Conditions

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiry, all fees and rates must be reconfirmed in writing by the assigned Banker before any services commence.
Payment terms: Monthly invoices are issued on the last business day of each calendar month. Payment is due within fourteen (14) calendar days of invoice date via electronic funds transfer (EFT) to the bank account nominated by Capital Banking & Advisory Group Ltd in Wellington, New Zealand.
The Banker engaged under this Quotation Estimate shall be Mr. Jonathan R. Whitfield or, in his absence, a suitably qualified deputy Banker approved in writing by the client. The Banker shall devote a minimum of 60% of their professional working time to the client's affairs during the engagement period.
All services shall be performed in accordance with the Financial Markets Conduct Act 2013, the Companies Act 2013, and all applicable regulations of the Reserve Bank of New Zealand and the Financial Markets Authority (FMA) as they pertain to banking operations in New Zealand Wellington.
The client acknowledges that this Quotation Estimate constitutes a good-faith estimate of costs and does not constitute a fixed-price contract. Actual fees for variable components (e.g., interest on drawn credit facilities, ad-hoc advisory hours) may differ based on market conditions and usage.
Either party may terminate the engagement with thirty (30) days' written notice. Upon termination, the Banker shall provide a full handover of all client records, outstanding transaction summaries, and compliance documentation within fourteen (14) days.
All data and information exchanged between the Banker and the client shall be treated as strictly confidential in accordance with the Privacy Act 2020 of New Zealand. No information shall be disclosed to third parties without the prior written consent of the client, except as required by New Zealand law or regulatory authority.
This Quotation Estimate and the resulting engagement shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved by the Disputes Tribunal or the District Court of Wellington, New Zealand.
The Banker shall maintain professional indemnity insurance of no less than NZD 5,000,000 per claim throughout the duration of the engagement, with certificates of insurance available upon request.

4. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure outlined herein for the engagement of the Banker to provide professional banking and advisory services in New Zealand Wellington.
