The scope of this Quotation Estimate covers a twelve-month (12-month) engagement period commencing on 1 August 2025 and concluding on 31 July 2026, unless otherwise extended by mutual written agreement between the parties. All services shall be rendered primarily at the client's registered office in Nigeria Lagos, with additional on-site visits to the client's branches in Ikeja, Apapa, and Ajah as required.

• Payment Schedule: The total amount stated in this Quotation Estimate shall be paid in twelve (12) equal monthly instalments of NGN 770,833, due on the first business day of each month. The ad hoc and quarterly items shall be invoiced separately upon completion of the respective service.
• Banker Availability: The assigned Banker shall be available for consultation during standard business hours (Monday to Friday, 8:00 AM to 5:00 PM, Nigeria Lagos time) and shall respond to urgent financial matters within four (4) business hours.
• Confidentiality: All financial data, trade secrets, and proprietary information shared with the Banker in the course of this engagement shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of Meridian Trade & Commerce PLC, in accordance with the Nigerian Data Protection Act 2023.
• Regulatory Compliance: The Banker shall ensure that all advisory services and financial instruments recommended are fully compliant with the Central Bank of Nigeria's regulatory framework, the Money Laundering (Prevention and Prohibition) Act, and all applicable Nigeria Lagos financial regulations.
• Termination: Either party may terminate this engagement by providing thirty (30) days' written notice. Upon termination, all fees for services rendered up to the date of termination shall be due and payable within fourteen (14) days.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Quotation Estimate due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Nigeria Lagos, or systemic banking disruptions.
• Governing Law: This Quotation Estimate and the engagement it describes shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with jurisdiction vested in the courts of Nigeria Lagos.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms set forth in this Quotation Estimate for the engagement of the Banker to deliver professional banking advisory services in Nigeria Lagos. This document constitutes a binding estimate of costs and is not a final invoice. Final invoices shall be issued monthly in accordance with the payment schedule outlined above.
