3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing Philippine banking industry conditions, BSP policy rate adjustments, and foreign exchange market volatility in Manila.
3.2 Payment Terms: A non-refundable retainer fee of twenty-five percent (25%) of the total Quotation Estimate amount shall be due upon execution of the Service Agreement. The remaining balance shall be payable in equal monthly installments over the twelve (12) month service period, due on the first business day of each month. All payments shall be made in Philippine Pesos via bank transfer to the designated account of Manila Premier Banker Services, Inc. at a BSP-regulated bank in Metro Manila.
3.3 Scope Limitations: The Banker services quoted herein are advisory and consultative in nature. Manila Premier Banker Services, Inc. does not act as a depository bank, and no client funds shall be held in trust by the Banker team. All transactions shall be executed through the client's own banking relationships with licensed Philippine financial institutions.
3.4 Confidentiality: All financial data, corporate strategies, and proprietary information shared during the engagement shall be treated as strictly confidential in accordance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173). The Banker team shall execute a Non-Disclosure Agreement (NDA) prior to commencing any service.
3.5 Termination: Either party may terminate the engagement with a written notice of sixty (60) days. In the event of early termination by the client without cause, a penalty equivalent to fifty percent (50%) of the remaining unamortized Quotation Estimate balance shall apply.
3.6 Governing Law: This Quotation Estimate and the resulting Service Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved through arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) in Manila.
3.7 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters affecting the Philippines Manila region, government-mandated closures, or systemic banking disruptions.
