The proposed Banker will operate from the client's primary office in Dakar and will be responsible for managing interbank relationships, executing cross-border settlements within the CFA franc zone, providing liquidity forecasting, and delivering quarterly strategic financial reviews tailored to the Senegalese market conditions.

• Validity: This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all pricing for the Banker services may be subject to revision based on prevailing market conditions in Senegal and the CFA franc exchange rate.
• Payment Terms: Payment shall be made in monthly installments of XOF 14,179,667 (inclusive of VAT), due on the 5th business day of each month via bank transfer to the designated account in Dakar, Senegal. A 1.5% monthly late penalty shall apply to overdue balances.
• Banker Availability: The engaged Banker shall be available on-site in Dakar a minimum of four (4) days per week, with remote availability for the remaining working days. Emergency call-out response time shall not exceed four (4) hours.
• Regulatory Compliance: All Banker services rendered in Senegal shall comply with the regulations of the BCEAO, the Autorité de Contrôle Prudentiel et de Résolution (ACPR) guidelines, and the local banking law of Senegal (Loi n° 90-07 du 2 janvier 1990).
• Confidentiality: The Banker shall maintain strict confidentiality regarding all financial data, client transactions, and proprietary information encountered during the engagement in Dakar, Senegal. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement.
• Termination: Either party may terminate this Quotation Estimate engagement with a written notice of sixty (60) days. Upon termination, all outstanding fees for services rendered up to the termination date shall be due in full.
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest in Senegal, or regulatory changes imposed by the BCEAO or the Senegalese government.
• Governing Law: This Quotation Estimate and the resulting Banker services agreement shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes shall be resolved through arbitration in Dakar under the rules of the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) arbitration centre.

By signing below, the client acknowledges receipt of this Quotation Estimate for the Banker services described herein and authorizes the commencement of the engagement in Senegal, Dakar upon execution of the definitive service agreement. The Banker shall report directly to the Chief Financial Officer and shall coordinate with the Treasury and Compliance departments as required.
