This Quotation Estimate is issued by the undersigned Banker, Don Alejandro M. Ferrer, acting in his professional capacity as a licensed financial advisor and corporate banker registered with the Banco de España and the CNMV (Comisión Nacional del Mercado de Valores), to provide the Client with a comprehensive, itemised cost breakdown for the professional banking and financial advisory services to be rendered in Madrid, Spain. This document constitutes a formal Quotation Estimate and does not, in and of itself, create a binding contractual obligation until both parties execute the definitive Service Agreement in accordance with Spanish civil and commercial law.
The following professional services, to be delivered by the Banker and his qualified team of financial specialists based in the offices located in the Salamanca district of Madrid, Spain, are included in this Quotation Estimate:

- Acceptance: This Quotation Estimate shall be deemed accepted only upon the Client’s written signature and return of this document to the Banker’s Madrid office within the stated validity period. Verbal acceptance shall not be valid under Spanish law.
- Payment Terms: A non-refundable deposit of 25% of the Grand Total (22,294.25 EUR) shall be due upon acceptance of this Quotation Estimate. The remaining balance shall be invoiced monthly in arrears, payable within 30 days of invoice date via bank transfer to the Banker’s designated account at a Spanish financial institution in Madrid.
- Scope Limitations: The services described herein are limited to banking and financial advisory activities conducted within the jurisdiction of Madrid, Spain. Any services requiring travel outside the Comunidad de Madrid or engagement with non-Spanish regulatory bodies shall be subject to a supplementary Quotation Estimate.
- Confidentiality: The Banker undertakes to maintain strict professional secrecy over all financial information, account details, and strategic data provided by the Client, in full compliance with the Spanish Organic Law on Data Protection (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
- Regulatory Compliance: All banking advisory services rendered under this Quotation Estimate shall comply with the regulations of the Banco de España, the CNMV, and applicable Spanish and European Union financial directives. The Banker holds a valid professional licence (Licencia de Asesor Financiero) issued by the relevant Spanish regulatory authority.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Madrid, or systemic financial market disruptions.
- Governing Law: This Quotation Estimate and any resulting Service Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes shall be submitted to the competent courts of Madrid, Spain, or to the Madrid Arbitration Court (Cámara de Comercio de Madrid) at the Client’s election.
- Amendments: No modification to this Quotation Estimate shall be valid unless made in writing and signed by both the Banker and the Client.
By signing below, both parties acknowledge that they have read, understood, and agree to the terms set forth in this Quotation Estimate for Banker services to be provided in Madrid, Spain.
