4. Payment Terms
Payment for this Quotation Estimate shall be structured as follows: 30% advance payment upon contract execution; 40% upon successful completion of Phase 2 (system integration and regulatory compliance verification in Ankara); 20% upon completion of Phase 3 (training and go-live); and 10% upon successful completion of the 90-day post-deployment stabilization period. All payments shall be made via irrevocable letter of credit issued by a bank operating in Turkey Ankara, denominated in USD, with a 30-day tenor.
5. Validity & Conditions
Important Notes regarding this Quotation Estimate:
- This Quotation Estimate is valid for a period of 90 calendar days from the date of issue. After expiry, all pricing, particularly hardware and currency-linked items, shall be subject to revision.
- All Banker software licenses are non-transferable and are specifically registered for the Ankara, Turkey deployment site. Any relocation or secondary deployment requires a separate written amendment to this Quotation Estimate.
- Hardware delivery to the Ankara site is subject to Turkish customs clearance and import regulations. The client is responsible for obtaining all necessary import permits and BDDK approvals prior to shipment.
- Exchange rate fluctuations between USD and TRY exceeding 5% during the contract period may trigger a price adjustment clause as defined in the master service agreement.
- This Quotation Estimate does not include costs for physical premises renovation, electrical upgrades, or fire suppression system modifications at the Ankara office. These are to be arranged separately by the client.
- All intellectual property related to the Banker platform remains the exclusive property of Global Banking Solutions Ltd. The client receives a limited, non-exclusive license for use within Turkey Ankara.
