The following Quotation Estimate covers the full spectrum of professional Banker services to be delivered over a twelve-month engagement period. The Banker, Mr. Jonathan R. Ashworth, holds a Chartered Banker designation and over twenty-two years of experience in corporate and commercial banking within the United Kingdom. All services will be conducted in strict compliance with the Financial Conduct Authority (FCA) regulations and the Bank of England's operational guidelines applicable in Manchester and the wider United Kingdom.

Payment for the services outlined in this Quotation Estimate shall be made in quarterly instalments of £21,795.00 (inclusive of VAT), payable within thirty (30) days of the invoice date. The first instalment is due upon execution of the service agreement. All payments shall be made by direct bank transfer to the firm's designated account held with a regulated United Kingdom banking institution in Manchester. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

This Quotation Estimate is valid for thirty (30) days from the date of issue. After this period, all rates and terms are subject to revision.
The Banker shall maintain professional indemnity insurance of no less than £5,000,000 and shall provide evidence of coverage upon request.
All work performed by the Banker shall be subject to the Data Protection Act 2018 and the UK GDPR. Client data shall be stored securely in Manchester, United Kingdom, and shall not be transferred outside the United Kingdom without prior written consent.
The Banker shall not be held liable for decisions made by the client's board of directors based on advisory recommendations, provided that all advice is delivered in good faith and in accordance with professional banking standards.
Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, a pro-rata charge for services rendered to date shall apply.
All disputes arising from this Quotation Estimate and the subsequent service agreement shall be resolved through mediation in Manchester, United Kingdom, before any litigation is commenced in the courts of England and Wales.
This Quotation Estimate does not constitute a guarantee of financial outcomes, lending approvals, or regulatory clearance. Banking decisions remain at the sole discretion of the relevant lending institutions and regulatory bodies.

By signing below, the client acknowledges that this Quotation Estimate has been reviewed in its entirety and agrees to the scope of Banker services, the associated costs, and the terms and conditions set forth herein. This Quotation Estimate shall become a binding service agreement upon countersignature by both parties.
