- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Thereafter, all rates and fees are subject to revision in line with the Reserve Bank of Zimbabwe's prevailing interest rate environment and exchange rate fluctuations applicable in Zimbabwe Harare.
- The dedicated Banker assigned under this engagement shall be a licensed professional registered with the Financial Services Provider Authority (FSPRA) of Zimbabwe and shall operate in full compliance with the Banking (Consolidation) Act, Chapter 24:07.
- All services shall be delivered primarily at the client's registered premises in Harare, Zimbabwe, with supplementary access to the Banker's branch offices located in the Harare Central Business District, Borrowdale, and Avondale.
- Payment terms: A non-refundable mobilisation fee of 25% of the total estimated annual fee is due upon acceptance of this Quotation Estimate. The remaining balance shall be invoiced monthly in arrears.
- Any foreign exchange transactions facilitated by the Banker are subject to the RBZ's Foreign Exchange Regulations and the client's eligibility under the Foreign Exchange (General) Regulations, 2019 (as amended).
- The Banker shall maintain strict confidentiality of all financial information in accordance with the Banking (Consolidation) Act and the Data Protection Act of Zimbabwe (Chapter 11:12).
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties. Acceptance shall be confirmed in writing via a formal Service Level Agreement (SLA) to be executed within Zimbabwe Harare.
- Force majeure events, including but not limited to national economic emergencies declared by the Government of Zimbabwe, may result in temporary suspension of certain services without penalty to either party.
- All disputes arising from this engagement shall be resolved through arbitration in Harare, Zimbabwe, in accordance with the Arbitration Act, Chapter 7:15.
