- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, all rates and availability of the proposed Biologist are subject to re-evaluation and potential revision.
- Payment shall be made in three equal installments: 40% upon contract execution, 35% upon completion of the mid-project milestone (end of Month 2), and 25% upon final delivery and acceptance of all Biologist deliverables. Payment is due within fourteen (14) days of invoice issuance.
- All services rendered by the Biologist shall comply with the laws and regulations of the State of Osaka, the City of Osaka, and applicable national Japanese legislation, including the Environmental Basic Act and the Nature Conservation Law.
- The Biologist shall maintain full professional confidentiality regarding all data, samples, and proprietary information encountered during the engagement in Japan Osaka. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of fieldwork.
- Any changes to the scope of work, additional sampling requirements, or extended timelines must be approved in writing by both parties. Such modifications will be documented as a formal amendment to this Quotation Estimate.
- The Biologist shall submit weekly progress reports and a final comprehensive report in both Japanese and English, formatted in accordance with the client's institutional guidelines for Japan Osaka municipal research publications.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Japan Osaka, shall suspend the project timeline without penalty to either party.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties and accompanied by the full Service Agreement and NDA.
- All intellectual property generated by the Biologist during the course of this engagement shall be jointly owned by the client and Kansai BioSciences Consulting Co., Ltd., unless otherwise stipulated in the Service Agreement.
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed-upon scope, cost, and terms for the engagement of the Biologist to perform the described services in Japan Osaka. This document, upon mutual execution, shall serve as the foundational pricing reference for the subsequent Service Agreement.
