4.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After expiration, the Biologist reserves the right to revise rates based on current market conditions in United States Miami.
4.2 Payment Schedule: A non-refundable deposit of 25% ($9,910.88) is due upon acceptance of this Quotation Estimate. The remaining balance shall be invoiced in three equal monthly installments aligned with project milestones. All payments are due within fifteen (15) days of invoice receipt.
4.3 Scope Changes: Any modification to the scope of biological services beyond what is outlined in this Quotation Estimate will require a written change order signed by both parties. Additional field days, specimen analyses, or regulatory filings will be billed at the unit rates specified in Section 3.
4.4 Licensing and Compliance: The Biologist holds a valid Florida Professional Engineer / Biologist license (License No. FL-BIO-2019-4471) and carries professional liability insurance of $2,000,000 per occurrence. All work will comply with the Endangered Species Act, the Clean Water Act, and Miami-Dade County land-use ordinances.
4.5 Intellectual Property: All reports, data sets, and biological findings produced under this engagement shall become the property of the client upon full payment. The Biologist retains the right to publish anonymized research findings in peer-reviewed journals with prior written notice to the client.
4.6 Force Majeure: Neither party shall be liable for delays caused by hurricanes, tropical storms, or other natural events common to the United States Miami region, provided that reasonable notice is given within 48 hours of the event.
4.7 Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through mediation in Miami-Dade County, Florida, United States, before resorting to litigation in the appropriate state or federal court.
