- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision due to market conditions in Colombia Medellín.
- Payment Terms: 40% advance payment upon contract signing, 40% upon completion of 50% of the project scope, and 20% upon final delivery and acceptance. All payments shall be made in Colombian Pesos (COP) via bank transfer to the account designated by Medellín Biomedical Solutions S.A.S.
- Taxes: All amounts are exclusive of VAT (IVA) at the current rate of 19% as established by the Colombian National Tax Authority (DIAN). Applicable taxes will be added to the final invoice.
- Warranty: All services performed by the Biomedical Engineer carry a warranty period of twelve (12) months from the date of final acceptance, covering any defects in workmanship or professional judgment.
- Confidentiality: The Biomedical Engineer and all supporting personnel shall maintain strict confidentiality regarding all patient data, hospital operations, and proprietary information encountered during the execution of services in Colombia Medellín, in accordance with Law 1581 of 2012 (Data Protection Law) and Law 1751 of 2015 (Health Data Protection).
- Regulatory Compliance: All services shall be executed in full compliance with Resolution 3100 of 2019, Decree 4725 of 2007, and all applicable technical regulations governing biomedical engineering practice in the city of Medellín and the Antioquia department.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the Colombian government.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through mediation in the city of Medellín, Antioquia, Colombia, in accordance with the Colombian Code of Civil Procedure.
