4.1 Validity: This Quotation Estimate remains valid for a period of ninety (90) calendar days from the date of issue. After the expiry date, all rates and availability commitments are subject to re-evaluation and may be adjusted to reflect current market conditions in the Germany Munich engineering services sector.
4.2 Payment Terms: Invoicing shall be performed monthly in arrears. Payment is due within thirty (30) days of invoice date via SEPA bank transfer to the account specified on the invoice. A late payment interest of 8 percentage points above the ECB base rate applies in accordance with § 288 BGB.
4.3 Scope Changes: Any modification to the scope of work beyond the parameters defined in this Quotation Estimate must be agreed upon in writing by both parties. Additional services will be billed at the hourly rates specified in Section 3 or at mutually agreed-upon fixed prices.
4.4 Confidentiality: The Biomedical Engineer and Munich Biomedical Engineering Solutions GmbH shall maintain strict confidentiality regarding all patient data, hospital operational information, and proprietary technical documentation encountered during the engagement, in full compliance with the GDPR (DSGVO) and the German Federal Data Protection Act (BDSG).
4.5 Liability and Insurance: The Biomedical Engineer shall carry professional liability insurance with a minimum coverage of €5,000,000 per claim. Munich Biomedical Engineering Solutions GmbH assumes contractual liability in accordance with the German Civil Code (BGB) and the applicable provisions of the VOB/B where relevant.
4.6 Governing Law and Jurisdiction: This Quotation Estimate and any resulting contract shall be governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for any disputes arising herefrom shall be Munich, Germany.
4.7 Health and Safety: All work performed on-site shall comply with the German Occupational Safety and Health Act (ArbSchG) and the hospital's internal safety regulations. The Biomedical Engineer shall undergo the hospital's mandatory induction and safety briefing prior to commencing any on-site activity.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Munich Biomedical Engineering Solutions GmbH to proceed with the engagement of the specified Biomedical Engineer under the terms and conditions set forth in this document. This acceptance constitutes a binding order for the services described herein, to be executed at the client's facility in Germany Munich.
