- 3.1 This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Any acceptance beyond this period requires re-issuance of the Quotation Estimate with updated pricing.
- 3.2 Payment terms: 50% of the total Quotation Estimate amount shall be due upon contract execution, and the remaining 50% shall be paid in equal monthly installments over the twelve-month service period. All payments shall be made via bank transfer to the account specified by MedTech Solutions International Co., Ltd.
- 3.3 The Biomedical Engineer engaged under this Quotation Estimate shall hold a valid Japanese Registered Biomedical Engineer (JABME) certification and shall maintain all required professional licenses throughout the contract duration.
- 3.4 All work performed by the Biomedical Engineer at the Japan Kyoto facility shall comply with the Japanese Medical Device Act, IEC 62353 standards, and the hospital's internal safety and infection control protocols.
- 3.5 The client reserves the right to request a written performance review of the Biomedical Engineer on a quarterly basis. Failure to meet agreed-upon service level objectives (SLOs) for two consecutive quarters may result in contract termination with thirty days' written notice.
- 3.6 Any additional services or equipment repairs not explicitly covered in this Quotation Estimate shall be subject to a separate written amendment and additional Quotation Estimate prior to commencement of work.
- 3.7 This Quotation Estimate does not include the cost of spare parts, replacement components, or third-party OEM service contracts. Such costs shall be billed separately at cost plus a 12% handling fee.
- 3.8 Governing law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Kyoto, Japan, under the rules of the Japan Commercial Arbitration Association.
