- Validity: This Quotation Estimate (QE-2025-AM-0347) remains valid for 90 days from the date of issue. After this period, pricing for the Biomedical Engineer services may be subject to revision based on market conditions in the Netherlands Amsterdam region.
- Payment Terms: Invoices will be issued monthly in arrears. Payment is due within 30 calendar days of invoice date via bank transfer to the account of MedTech Solutions B.V. at ING Bank, Amsterdam, Netherlands (IBAN: NL91 INGB 0000 1234 56).
- Service Level Agreement (SLA): The Biomedical Engineer team guarantees a maximum response time of 4 hours for critical care devices and 24 hours for non-critical devices within the Netherlands Amsterdam metropolitan area. Failure to meet SLA targets will result in a 5% service credit per incident.
- Confidentiality & Data Protection: All personnel assigned as Biomedical Engineer staff will sign a Non-Disclosure Agreement (NDA) and comply with the Dutch Implementation Act of the GDPR (UAVG). Patient data and hospital operational information will be handled in strict accordance with applicable privacy legislation.
- Regulatory Compliance: All Biomedical Engineer activities will be conducted in full compliance with the Dutch Medical Devices Act (Wet medische hulpmiddelen), the MDR 2017/745, NEN-EN 62353, NEN 7510, and IGJ inspection requirements specific to the Netherlands Amsterdam healthcare sector.
- Termination: Either party may terminate the agreement with a written notice period of 90 days. In the event of early termination, a pro-rata charge for the Biomedical Engineer services rendered up to the termination date will apply.
- Insurance: MedTech Solutions B.V. maintains professional liability insurance (beroepsaansprakelijkheid) with a coverage of no less than €5,000,000 per claim, valid throughout the Netherlands, including the Amsterdam municipality.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through mediation in Amsterdam, Netherlands, in accordance with the rules of the Netherlands Mediation Institute (NMI). If mediation fails, the competent courts of Amsterdam shall have exclusive jurisdiction.
- Force Majeure: Neither party shall be liable for delays or failures in performance of Biomedical Engineer services caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in the Netherlands.
