The total amount of this Quotation Estimate shall be paid in monthly installments via bank transfer to the account of Andina Biomedical Solutions S.A.C. at BCP (Banco de Crédito del Perú), Cuenta Corriente No. 191-12345678-0-19, RUC 20601234567.
- Monthly Professional Fee: S/ 28,005.33 per month, due on the 5th business day of each month, covering the recurring services listed in items 1, 3, 5, and 7.
- One-Time Deliverables: The inventory audit (Item 2) shall be invoiced upon delivery of the final report. Training sessions (Item 4) shall be invoiced per quarter upon completion of the four sessions.
- Software Updates (Item 6): Invoiced per quarter upon completion of the update cycle.
- Payment Deadline: All invoices must be settled within fifteen (15) calendar days from the date of issuance. Late payments shall accrue interest at the rate established by the Superintendencia de Banca, Seguros y AFP (SBS).
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all prices and availability of the Biomedical Engineer must be reconfirmed in writing.
- The Biomedical Engineer shall comply with all occupational health and safety regulations in force in Peru Lima, including those issued by the Ministry of Labor and Employment (MINTRA) and the Peruvian Standardization Institute (INACAL).
- Confidentiality: All patient data, hospital operational information, and proprietary technical documentation accessed during the engagement shall be treated as strictly confidential in accordance with Peruvian Law No. 29733 (Personal Data Protection Law).
- Intellectual Property: All reports, risk matrices, and training materials produced under this contract shall be the exclusive property of the client hospital upon full payment.
- Termination: Either party may terminate the agreement with thirty (30) days' written notice. In the event of early termination by the client without cause, a penalty of 10% of the remaining contract value shall apply.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Peru Lima.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by the Peruvian Civil Code and the Commercial Code of Peru. Any disputes shall be resolved by the competent courts of the judicial district of Lima, Peru.
