This Quotation Estimate is formally issued by Bay Area Biomedical Consulting Group, Inc. to Pacific Coast Medical Devices Corp. for the engagement of a senior Biomedical Engineer to provide specialized technical consulting, regulatory compliance support, and product development oversight. All services described herein will be performed within the United States San Francisco metropolitan area, in full compliance with applicable federal, state, and local regulations governing biomedical engineering practice in California. This document serves as a binding cost projection and scope definition for the proposed engagement.
2. Scope of Services — Biomedical Engineer EngagementThe Biomedical Engineer assigned to this project will hold a minimum of a Master's degree in Biomedical Engineering from an ABET-accredited institution, possess active California Professional Engineer (P.E.) licensure in the Biomedical field, and carry a minimum of twelve (12) years of progressive experience in medical device design, FDA regulatory affairs, and clinical validation. The scope of work includes, but is not limited to, the following deliverables:

- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiration, all rates and availability must be reconfirmed in writing by Bay Area Biomedical Consulting Group, Inc.
- Payment terms: 40% upon execution of the Statement of Work, 35% upon completion of the design review and regulatory documentation phases, and 25% upon final delivery of all project deliverables. All payments are due net thirty (30) days from invoice date.
- All services will be rendered by a qualified Biomedical Engineer who is a licensed professional engineer in the State of California. The assigned engineer will maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence.
- Work will be performed primarily at the client's facility located in United States San Francisco, with remote consultation available via secure video conferencing as needed. No work will be performed outside the United States without prior written authorization.
- Any changes to the scope of work exceeding ten percent (10%) of the original estimated hours will require a formal change order signed by both parties before additional work commences.
- All intellectual property developed specifically for the client under this engagement shall be the sole property of Pacific Coast Medical Devices Corp. upon full payment. Background intellectual property of the Biomedical Engineer or the consulting firm remains the property of its respective owner.
- This Quotation Estimate does not constitute a guarantee of FDA approval or regulatory clearance. The Biomedical Engineer will provide best-effort technical support in accordance with current FDA guidance documents and applicable regulations in force at the time of service delivery.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the course of this engagement, in accordance with the mutual Non-Disclosure Agreement (NDA) referenced in Appendix A.
- Disputes arising from this engagement shall be resolved through binding arbitration in San Francisco County, California, in accordance with the rules of the American Arbitration Association.
- This Quotation Estimate is governed by the laws of the State of California and the federal laws of the United States of America.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Bay Area Biomedical Consulting Group, Inc. to proceed with the engagement of the Biomedical Engineer as described herein. The client confirms that all services will be conducted in compliance with all applicable laws and regulations within United States San Francisco and the State of California.
