The total amount set forth in this Quotation Estimate shall be paid according to the following milestones, all denominated in Argentine Pesos and payable via bank transfer to the account of Villanueva & Asociados Consultores, Banco de la Nación Argentina, CBU 01100011000000012345678901:
- 30% advance (ARS 1,908,075) upon signed acceptance of this Quotation Estimate.
- 40% interim (ARS 2,544,100) upon delivery of the Strategic Business Plan and Operational Optimization reports.
- 30% final (ARS 1,908,075) upon completion of all deliverables and the final advisory session.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be adjusted to reflect changes in the Argentine economic environment, including inflation indexation per INDEC data.
- All services will be performed by the designated Business Consultant or, with prior written consent of the client, by qualified associates of the firm. The primary consultant will maintain direct oversight of all deliverables.
- The Business Consultant shall maintain strict confidentiality over all proprietary information, financial data, and strategic documents shared by the client during the engagement, in accordance with Argentine Law 25.326 on Personal Data Protection.
- Travel expenses within the City of Buenos Aires and the Province of Buenos Aires are included. Travel to other Argentine provinces (e.g., Mendoza, Córdoba) is included as noted in Line Item 4. Any additional travel beyond the stated scope will be billed at cost with prior approval.
- All deliverables shall be provided in both Spanish and English. The primary working language for on-site meetings in Argentina Buenos Aires shall be Spanish, with English summaries provided within five business days.
- Intellectual property in all reports, models, and strategic documents produced under this engagement shall transfer to the client upon full payment. The Business Consultant retains the right to reference the engagement in anonymized case studies.
- Either party may terminate the engagement with thirty (30) days’ written notice. In such case, the client shall pay for all services rendered up to the termination date, and the Business Consultant shall deliver all completed work product.
- This Quotation Estimate is governed by the laws of the Argentine Republic, with exclusive jurisdiction of the commercial courts of the City of Buenos Aires.
- Any disputes arising from this engagement shall first be subject to good-faith mediation before the Buenos Aires Chamber of Commerce before proceeding to litigation.
