The total amount specified in this Quotation Estimate shall be invoiced and paid according to the following schedule:
- 30% Advance Payment: Due upon signed acceptance of this Quotation Estimate and prior to the commencement of the Business Consultant's engagement. Amount: €47,190.00 (incl. VAT).
- 40% Milestone Payment: Due upon completion of the Strategic Planning and Operational Efficiency phases (end of Week 8). Amount: €62,920.00 (incl. VAT).
- 30% Final Payment: Due upon delivery and acceptance of the Final Report and Implementation Roadmap. Amount: €47,190.00 (incl. VAT).
All payments shall be made via bank transfer to the account of Brussels Strategic Advisory BV, IBAN: BE68 5390 0754 7034, BIC: GEBABEBB, within 14 calendar days of the invoice date. Late payments shall accrue interest at the rate prescribed by the Belgian Code of Economic Law.
5.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Business Consultant reserves the right to revise the fees and terms reflected herein.
5.2 Confidentiality: The Business Consultant shall treat all client information, trade secrets, and proprietary data as strictly confidential in accordance with Belgian data protection legislation and the EU General Data Protection Regulation (GDPR). A separate Non-Disclosure Agreement (NDA) may be executed prior to the commencement of work in Belgium Brussels.
5.3 Intellectual Property: All deliverables, reports, models, and recommendations produced by the Business Consultant under this engagement shall become the exclusive property of the client upon full and final payment of all amounts due under this Quotation Estimate.
5.4 Limitation of Liability: The total liability of the Business Consultant under this engagement shall not exceed the total fees paid by the client. The Business Consultant shall not be liable for indirect, consequential, or punitive damages arising from the services rendered in Belgium Brussels.
5.5 Governing Law & Jurisdiction: This Quotation Estimate and any resulting contractual relationship shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Brussels, Belgium.
5.6 Cancellation: Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all fees corresponding to work completed up to the date of termination, as well as a cancellation fee of 10% of the remaining contract value.
