The Business Consultant will be deployed on a full-time basis at the client's Brasília headquarters for an initial period of twelve (12) months, with the option to extend. All deliverables, reports, and strategic recommendations produced under this Quotation Estimate will be prepared in Portuguese for internal use and in English for any international stakeholder presentations, ensuring full compliance with local business communication standards in Brazil Brasília.

The Business Consultant engagement under this Quotation Estimate encompasses the following core service areas:

Payment for this Quotation Estimate shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the account of Brasília Strategic Advisory Group Ltda. The Business Consultant fees will be invoiced on the following schedule:

• 30% advance payment (BRL 335,793.60) due within 10 business days of contract signature to initiate the Business Consultant mobilisation phase.
• Monthly progress invoices for the retainer-based services (Ref. 03, 06, 07, 08), payable within 15 calendar days of invoice date.
• Project milestone payments for Ref. 01, 02, 04, and 05, payable upon written acceptance of each deliverable by the client's designated project sponsor.
• Final settlement of any remaining balance within 30 days of project completion.

Late payments shall accrue interest at the rate of 1% per month plus the CDI (Certificado de Depósito Interbancário) rate, in accordance with Brazilian commercial law.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all prices and the Business Consultant availability must be reconfirmed in writing.
2. The Business Consultant shall maintain full professional confidentiality regarding all client data, financial information, and strategic plans encountered during the engagement in Brazil Brasília. A mutual Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
3. Any scope changes, additional work requests, or extensions beyond the twelve-month initial term must be documented through a formal Change Order signed by both parties. The Business Consultant will provide a supplementary Quotation Estimate for any such additions within five (5) business days.
4. The Business Consultant is engaged as an independent contractor and not as an employee of the client. All social security contributions (INSS), income tax (IRRF), and professional registration (CRA/ACB) obligations are the sole responsibility of Brasília Strategic Advisory Group Ltda.
5. Force majeure events, including but not limited to government shutdowns, natural disasters, or public health emergencies affecting Brazil Brasília, shall suspend the Business Consultant's obligations without penalty for a period not exceeding sixty (60) days.
6. Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in Brasília – DF, under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá), in the Portuguese language.
7. All intellectual property created specifically for the client under this engagement shall transfer to the client upon full payment. Pre-existing methodologies, templates, and tools of the Business Consultant remain the property of Brasília Strategic Advisory Group Ltda.

By signing below, the client acknowledges receipt of this Quotation Estimate, accepts the terms, conditions, and pricing for the Business Consultant services described herein, and authorises Brasília Strategic Advisory Group Ltda. to commence the engagement in Brazil Brasília upon execution of the definitive service contract.

This Quotation Estimate (QTE-BSB-2025-0472) is a commercial document issued in accordance with Brazilian tax and commercial regulations. It does not constitute a binding contract until both parties execute the definitive service agreement. All references to Brazil Brasília pertain to the Federal District and its immediate metropolitan area. The Business Consultant services are subject to the terms outlined in Sections 4 and 5 above.
