4. Terms and Conditions
4.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiry date, pricing and availability of the Business Consultant team may be subject to revision.
4.2 Payment Terms: Payment shall be made in three equal installments: 30% upon contract signing, 40% upon completion of the mid-project milestone (end of Week 8), and 30% upon final delivery of all deliverables. All payments are due within fourteen (14) days of invoice date via bank transfer to the account of Strategis Consulting GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX.
4.3 Confidentiality: The Business Consultant and all team members shall adhere to strict confidentiality obligations in accordance with German data protection regulations (DSGVO/GDPR). All client data, proprietary information, and business strategies shared during the engagement in Germany Berlin shall remain strictly confidential and shall not be disclosed to any third party without written consent.
4.4 Intellectual Property: All reports, analyses, strategic documents, and deliverables produced by the Business Consultant during this engagement shall become the exclusive property of Nordwind Technologies AG upon full payment of the total amount specified in this Quotation Estimate.
4.5 Cancellation: Either party may terminate the engagement with a written notice of thirty (30) days. In the event of early termination, all work completed up to the date of termination shall be invoiced at the rates specified herein.
4.6 Governing Law: This Quotation Estimate and the resulting contract shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
4.7 Travel and Expenses: All travel within the Germany Berlin metropolitan area is included in the quoted rates. Travel to locations outside Berlin (beyond 50 km radius) will be billed at actual cost with prior written approval.
5. Project Timeline Overview
The total engagement period for this Business Consultant project is estimated at approximately twenty-six (26) weeks, commencing on the agreed start date. The project will be executed in phases with defined milestones, and the Business Consultant will provide weekly progress reports to the client's designated project lead. All on-site work will be conducted at the client's premises in Germany Berlin or at the Strategis Consulting GmbH office in central Berlin, as mutually agreed upon for each work package.
