1. Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiry date, all rates and terms are subject to revision based on current market conditions in Italy Rome.
2. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice issuance. A 30% advance payment is required upon contract signature to commence the engagement. The remaining balance shall be invoiced in monthly instalments aligned with the project milestones outlined above.
3. Scope Changes: Any modification to the scope of services beyond what is described in this Quotation Estimate shall be subject to a supplementary agreement and additional charges, to be agreed upon in writing by both parties prior to execution.
4. Confidentiality: The Business Consultant and all team members shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the client. This obligation shall survive the termination of the engagement for a period of five (5) years.
5. Intellectual Property: All reports, strategic plans, analyses, and deliverables produced under this engagement shall become the exclusive property of the client upon full payment of the amounts due.
6. Termination: Either party may terminate the engagement with a written notice of thirty (30) days. In such case, the client shall be liable for all services rendered up to the date of termination, plus any non-recoverable costs incurred by the Business Consultant team.
7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of the Italian Republic. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Italy Rome region.
