3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Business Consultant fees and rates stated herein are subject to revision based on prevailing market conditions in Malaysia Kuala Lumpur.
3.2 Payment Terms: Payment shall be made in three (3) instalments: 40% upon acceptance of this Quotation Estimate, 40% upon completion of the mid-project milestone (end of Week 8), and 20% upon delivery of the final consolidated report. All payments are to be made via bank transfer to the account of Strategic Advisory Group Sdn. Bhd., Bank Islam Malaysia Berhad, Account No. 0123-4567-8900.
3.3 Commencement: The Business Consultant engagement shall commence within five (5) business days of receipt of the initial payment and written confirmation from the client. The project timeline assumes full cooperation and timely access to all relevant documents, personnel, and facilities at the client's premises in Malaysia Kuala Lumpur.
3.4 Confidentiality: All information, data, and materials shared during the course of this Business Consultant engagement shall be treated as strictly confidential. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work, in compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
3.5 Intellectual Property: All reports, frameworks, methodologies, and deliverables produced under this Quotation Estimate shall become the sole property of the client upon full and final payment. The Business Consultant firm retains the right to use anonymized, aggregated findings for internal research purposes only.
3.6 Limitation of Liability: The total liability of Strategic Advisory Group Sdn. Bhd. under this Quotation Estimate shall not exceed the total fees paid by the client. The Business Consultant services are advisory in nature, and the client retains full decision-making authority over all strategic and operational matters.
3.7 Governing Law: This Quotation Estimate and any disputes arising therefrom shall be governed by and construed in accordance with the laws of Malaysia. Any disputes shall be resolved through the courts of Malaysia Kuala Lumpur or through arbitration at the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, as mutually agreed by both parties.
3.8 Cancellation: Either party may terminate this engagement with fourteen (14) days' written notice. In the event of early termination by the client, all fees for work completed up to the date of termination, plus a 10% administrative fee, shall be payable. The Business Consultant firm reserves the right to withdraw from this Quotation Estimate if the client fails to make payments within the stipulated timelines.
Note: This Quotation Estimate does not include costs for third-party software licensing, travel expenses beyond the Kuala Lumpur metropolitan area, or any additional Business Consultant services that may be requested outside the scope defined herein. Any such additional services will be subject to a separate written amendment to this Quotation Estimate and mutual agreement on revised fees. All rates are quoted in Malaysian Ringgit (MYR) and are inclusive of the Business Consultant team's professional time, travel within Malaysia Kuala Lumpur, and standard reporting deliverables. 4. Acceptance and AuthorizationBy signing below, the client acknowledges and accepts all terms, conditions, and fee structures outlined in this Quotation Estimate for the engagement of the Business Consultant services described herein. This acceptance constitutes a binding agreement between the parties under the laws of Malaysia.
