All services are subject to the terms and conditions specified in this Quotation Estimate and the subsequent service agreement.

As outlined in this Quotation Estimate, the total fee for the Business Consultant engagement shall be paid according to the following milestone-based schedule. All payments are to be made via bank transfer to the account of Estrategia Corporativa MX, S.A. de C.V., domiciled in Mexico Mexico City. Late payments shall accrue interest at the rate established by the Banco de México (Banxico) for overdue commercial obligations.

4.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, the Business Consultant reserves the right to revise fees due to changes in market conditions, exchange rates, or operational costs within Mexico Mexico City.
4.2 Confidentiality: The Business Consultant shall maintain strict confidentiality over all proprietary information, trade secrets, and business data disclosed by the client during the engagement. This obligation survives the termination of the contract for a period of three (3) years, in compliance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).
4.3 Intellectual Property: All reports, models, strategies, and deliverables produced by the Business Consultant under this Quotation Estimate shall become the exclusive property of the client upon full payment of the corresponding milestone fee.
4.4 Limitation of Liability: The total liability of the Business Consultant under this Quotation Estimate shall not exceed the total fees paid by the client for the specific service in which the alleged breach occurred. The Business Consultant shall not be liable for indirect, consequential, or punitive damages arising from decisions made by the client based on the consultant's recommendations.
4.5 Termination: Either party may terminate the engagement with thirty (30) days written notice. In the event of early termination by the client, all fees for work completed up to the termination date, plus a 15% cancellation surcharge on the remaining contracted value, shall be due and payable within fifteen (15) business days.
4.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with exclusive jurisdiction vested in the commercial courts of Mexico Mexico City, Federal District. Any disputes shall first be subject to mediation before the Centro de Arbitraje y Conciliación (CEAC) in Mexico Mexico City.
4.7 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or civil unrest affecting operations in Mexico Mexico City.
4.8 Taxes: All amounts stated in this Quotation Estimate are in Mexican Pesos (MXN) and include the applicable 16% Value Added Tax (IVA) as mandated by the Mexican Federal Tax Code (Código Fiscal de la Federación). The client is responsible for any withholding taxes applicable under Mexican tax law.
This Quotation Estimate assumes that the client will provide timely access to all necessary financial records, operational data, and personnel interviews required for the Business Consultant to perform the engagement. The following items are excluded from the scope and would be subject to a separate Quotation Estimate if required: legal representation before Mexican courts or regulatory bodies, accounting or tax filing services, IT infrastructure procurement, and recruitment or headhunting services. Travel expenses for the Business Consultant beyond the Mexico Mexico City metropolitan area (including but not limited to visits to Monterrey, Guadalajara, or Cancún) will be billed at cost with a 10% administrative surcharge.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Estrategia Corporativa MX, S.A. de C.V. to proceed with the Business Consultant engagement as described herein. This signature constitutes a binding acceptance of all terms, conditions, fees, and timelines set forth in this document. The Business Consultant will issue a formal Service Agreement within five (5) business days of receiving the signed Quotation Estimate.
