2. Scope of Business Consultant ServicesThe Business Consultant engaged under this Quotation Estimate shall provide the following professional services tailored to the operational and strategic needs of the client within the Philippines Manila business environment:
- Strategic Planning & Organizational Assessment: A thorough evaluation of the client's current organizational structure, market positioning, competitive landscape, and long-term growth trajectory within the broader Philippines Manila economic context.
- Operational Efficiency Review: Analysis of existing business processes, supply chain logistics, and internal workflows to identify areas of inefficiency and recommend actionable improvements.
- Financial Modeling & Forecasting: Development of detailed financial projections, cash flow analyses, and investment return models aligned with Philippine regulatory standards and the Bangko Sentral ng Pilipinas (BSP) compliance framework.

The total engagement period for the Business Consultant services outlined in this Quotation Estimate is estimated at approximately 14 to 16 weeks from the date of contract execution. All on-site activities will be conducted at the client's premises in Philippines Manila or at the consulting firm's office in Makati City. Milestone-based progress reports will be submitted bi-weekly to the client's designated project sponsor.
5. Payment TermsPayment for the services described in this Quotation Estimate shall be made in Philippine Pesos (PHP) via bank transfer to the designated account of Manila Strategic Advisory Group, Inc. The payment schedule is as follows:
- 30% Advance Payment: Due upon signing of the Service Agreement (₱1,972,320.00)
- 40% Milestone Payment: Due upon delivery of the Strategic Business Plan and Operational Audit (₱2,629,760.00)
- 30% Final Payment: Due upon completion of all deliverables and acceptance by the client (₱1,972,320.00)
Invoices shall be issued in accordance with the Bureau of Internal Revenue (BIR) requirements for the Philippines Manila jurisdiction. Late payments shall accrue interest at 1.5% per month as stipulated under Philippine commercial law.
6. Terms and Conditions- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, rates and availability of the Business Consultant are subject to revision.
- All intellectual property, reports, and deliverables produced under this engagement shall become the exclusive property of the client upon full and final payment.
- The Business Consultant shall maintain strict confidentiality of all client information in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173) of the Philippines.
- Any changes to the scope of work beyond what is stated in this Quotation Estimate shall require a written change order signed by both parties and may result in additional charges.
- The consulting firm shall provide a minimum of two (2) weeks' written notice for any cancellation. Cancellation within the first two weeks of engagement shall be subject to a 20% penalty fee.
- All services shall be performed in compliance with applicable laws and regulations of the Republic of the Philippines, including but not limited to those enforced by the Department of Trade and Industry (DTI), the Securities and Exchange Commission (SEC), and the Bureau of Internal Revenue (BIR) in Philippines Manila.
- Disputes arising from this engagement shall be resolved through mediation in Philippines Manila before resorting to litigation in the appropriate courts of Makati City.
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties.
