The following table presents the detailed cost structure for this Quotation Estimate. All rates are inclusive of the Business Consultant's professional fees, travel within Russia Saint Petersburg, and standard administrative overhead. Rates are quoted in both RUB and USD for the client's convenience.

As stipulated in this Quotation Estimate, payment shall be structured as follows:

• Advance Payment (30%): Due within 10 business days of contract execution – 3,237,480 RUB / 34,836 USD
• Milestone Payment 1 (25%): Due upon completion of Months 1–4 deliverables – 2,697,900 RUB / 29,030 USD

All payments shall be made via bank transfer to the account of Meridian Strategic Advisory Group LLC, Sberbank, Saint Petersburg branch. Invoices will be issued in accordance with Russian Federation tax legislation. Late payments shall accrue interest at 0.1% per calendar day as permitted under the Civil Code of the Russian Federation.

1. This Quotation Estimate is valid for 30 calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on market conditions in Russia Saint Petersburg.
2. The Business Consultant shall maintain full confidentiality of all client information in compliance with Federal Law No. 152-FZ "On Personal Data" and applicable commercial secrecy regulations.
3. All intellectual property created specifically for the client under this engagement shall transfer to the client upon full payment. Pre-existing methodologies, templates, and frameworks remain the property of Meridian Strategic Advisory Group LLC.
4. The Business Consultant reserves the right to substitute personnel of equivalent or superior qualification with 14 days' written notice, provided the client's prior written consent is obtained.
5. Force majeure events, including but not limited to government sanctions, regulatory changes, or natural disasters affecting Russia Saint Petersburg, shall suspend obligations without penalty for a period not exceeding 60 days.
6. Disputes arising from this Quotation Estimate and the resulting contract shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and the Leningrad Region, in accordance with the Arbitration Procedure Code of the Russian Federation.
7. This Quotation Estimate does not constitute a binding contract until both parties execute the formal Service Agreement. The terms herein serve as the commercial foundation for such an agreement.
8. All services shall be performed in full compliance with the laws of the Russian Federation, including but not limited to the Tax Code, the Civil Code, and applicable Federal Laws governing consulting and advisory services.

• This Quotation Estimate assumes the client will provide timely access to all relevant internal data, systems, and personnel necessary for the Business Consultant to perform the scoped services.
• International travel outside of Russia Saint Petersburg is excluded and will be billed at cost plus 15% administrative surcharge if required.
• Third-party software licenses, external audit fees, and legal counsel costs are excluded from this Quotation Estimate.
• Hours exceeding the allocated scope by more than 10% will require a formal change order signed by both parties before additional work commences.
