This Quotation Estimate is issued by Barcelona Strategic Advisory S.L. to provide a comprehensive and transparent cost breakdown for the engagement of a senior Business Consultant to support the operational and strategic transformation of the client's retail operations across the Spain Barcelona metropolitan area. The Business Consultant will be embedded within the client's leadership team and will report directly to the Chief Operating Officer. All services will be delivered in accordance with the professional standards established by the Spanish Association of Consultants (AEC) and will comply with the applicable regulations of the Generalitat de Catalunya and the Kingdom of Spain.

- A non-refundable advance payment of 25% of the total Quotation Estimate amount (€12,402.50 including VAT) is due within 10 business days of the client's written acceptance of this document.
- The remaining 75% shall be invoiced in two equal monthly instalments at the end of Month 3 and Month 6 of the engagement period, payable within 30 days of invoice date via bank transfer to the provider's account at CaixaBank, IBAN: ES91 2100 0418 4502 0005 1332.
- Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004), currently set at the European Central Bank reference rate plus 10 percentage points.
- All payments are to be made in Euros (EUR) to the bank account specified above. No payment shall be considered received until the funds are cleared in the provider's account.
- This Quotation Estimate is valid for 30 calendar days from the date of issue. Upon expiry, the Business Consultant rates and availability may be subject to revision.
- The Business Consultant shall maintain full professional confidentiality regarding all client information, trade secrets, and proprietary data encountered during the engagement in Spain Barcelona. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
- The provider shall carry professional indemnity insurance with a minimum coverage of €1,000,000 per claim, as required under Spanish commercial law for consulting firms operating in Barcelona.
- Either party may terminate the engagement with 30 days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a cancellation fee of 10% of the remaining contract value.
- This Quotation Estimate and the resulting contract shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- The Business Consultant shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection.
- All deliverables produced by the Business Consultant shall become the exclusive property of the client upon full payment of the amounts specified in this Quotation Estimate.
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed scope of Business Consultant services to be delivered in Spain Barcelona, and that the terms, conditions, and financial obligations set forth herein are accepted in full.
