Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all rates and availability of the assigned Business Consultant are subject to revision.
Payment Schedule: Invoices will be issued monthly in arrears. Payment is due within thirty (30) days of invoice date via bank transfer to the account held at Banco Santander, Madrid branch. Late payments will accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
Travel & Expenses: All travel within the Madrid metropolitan area is included. Travel to other Spanish cities or international destinations will be billed at cost with prior written approval from the client.
Confidentiality: The Business Consultant and Meridian Advisory Group S.L. shall maintain strict confidentiality in accordance with Spanish data protection law (LOPDGDD) and the EU General Data Protection Regulation. A separate Non-Disclosure Agreement (NDA) will be executed prior to commencement of services.
Intellectual Property: All reports, analyses, and strategic documents produced by the Business Consultant during the engagement shall become the exclusive property of the client upon full payment of the corresponding invoice.
Termination: Either party may terminate the engagement with sixty (60) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a cancellation fee of 10% of the remaining contract value.
Governing Law & Jurisdiction: This Quotation Estimate and any resulting service agreement shall be governed by the laws of Spain. Any disputes shall be submitted to the competent courts of Madrid, Spain, or to arbitration before the Madrid Chamber of Commerce (Cámara Oficial de Comercio de Madrid), at the client's election.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the Spanish authorities.

This Quotation Estimate assumes that the client will provide timely access to all relevant financial records, operational data, and personnel for interviews at the Madrid office. The estimate does not include legal representation before Spanish courts, tax filing services (which must be performed by a licensed Spanish gestor or asesor fiscal), or the costs of any third-party software licenses required for implementation. Should the scope of work expand beyond the parameters described herein, a supplementary Quotation Estimate will be issued for the additional services.

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms outlined above. This signature does not constitute a final contract but authorizes Meridian Advisory Group S.L. to proceed with the preparation of the definitive Business Consultant service agreement for execution.
