Payment for this Quotation Estimate shall be made via bank transfer to the firm's designated account at Ziraat Bankası, Istanbul branch. The payment schedule is structured as follows:
- 30% Advance Payment (TRY 662,760): Due within 5 business days of signed contract acceptance, prior to commencement of the Business Consultant engagement.
- 40% Milestone Payment (TRY 883,680): Due upon completion and client approval of the mid-project deliverables (Items 01 through 04).
- 30% Final Payment (TRY 662,760): Due within 10 business days of delivery of the final comprehensive report and completion of the 90-day follow-up period.
The monthly retainer fee of TRY 48,000 (Item 06) shall be invoiced on the 1st of each calendar month and is payable within 15 days of invoice issuance. Late payments shall accrue interest at the rate prescribed by the Turkish Law on Late Payment Interest in Commercial Transactions (Law No. 3095).
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiry date, all pricing may be subject to revision based on market conditions in Turkey Istanbul.
- All services will be performed by a qualified and experienced Business Consultant team with a minimum of 10 years of combined industry experience, operating primarily from our Istanbul office at Levent Business Center.
- The client agrees to provide timely access to all relevant internal documents, data, facilities, and personnel necessary for the Business Consultant to perform the scoped services effectively.
- Confidentiality: All information exchanged during the engagement shall be treated as strictly confidential in accordance with the Turkish Personal Data Protection Law (KVKK – Law No. 6698) and a separate Non-Disclosure Agreement (NDA) to be executed concurrently with the main contract.
- Intellectual Property: All reports, models, strategies, and deliverables produced under this engagement shall become the exclusive property of the client upon full payment. The Business Consultant retains the right to use anonymized, aggregate findings for internal research purposes only.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Turkey Istanbul.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC). The governing law shall be the laws of the Republic of Turkey.
- Termination: Either party may terminate the engagement with thirty (30) days written notice. In such cases, the client shall pay for all services rendered up to the termination date, and the Business Consultant shall deliver all work-in-progress materials.
Important Note: This Quotation Estimate assumes that the client's operations are primarily based in the Istanbul metropolitan area. Any significant expansion of scope, additional site visits outside the Istanbul-Kocaeli-Bursa corridor, or requirements for multilingual deliverables (beyond Turkish and English) will be subject to a supplementary Quotation Estimate issued by the Business Consultant team. This estimate does not include legal representation, accounting audit services, or licensing/permitting fees, which may be required under Turkish commercial law.
