3. Payment Terms

Payment for this Quotation Estimate shall be made in three tranches: (i) 40% advance payment upon signing of the Service Agreement; (ii) 40% upon completion of the mid-project milestone review (end of Week 6); and (iii) 20% upon final delivery of all reports and the post-implementation support period. All payments shall be made in Ugandan Shillings (UGX) via bank transfer to Apex Business Consulting Ltd., Stanbic Bank, Kampala Branch, Account No. 0012-3456-7890. Late payments shall attract interest at 2% per month as stipulated under the Uganda Interest Act.

4. Terms & Conditions

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, rates may be revised to reflect market conditions in Uganda Kampala.
The Business Consultant engagement is governed by the laws of the Republic of Uganda. Any disputes shall be resolved through arbitration under the Uganda Arbitration Act, 2000, with the seat of arbitration in Kampala.
All intellectual property, reports, models, and deliverables produced under this engagement shall become the sole property of the client upon full payment.
Confidentiality: The Business Consultant team shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All client data shall be handled in strict confidence.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government policy changes, natural disasters, or public health emergencies in Uganda.
Scope Changes: Any additional services beyond the scope outlined in this Quotation Estimate shall be subject to a separate written amendment and additional cost approval.
The Business Consultant shall provide weekly progress reports and a comprehensive final report within five (5) business days of project completion.
Client Responsibilities: The client shall provide timely access to all relevant documents, personnel, and facilities in Uganda Kampala to enable the consultant to perform duties without undue delay.

5. Acceptance & Authorisation

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined herein for the engagement of Apex Business Consulting Ltd. as Business Consultant in Uganda Kampala. This document, once countersigned, shall form part of the master Service Agreement between the parties.
