3. Terms and Conditions of This Quotation Estimate
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all rates and terms are subject to revision without prior notice.
- All fees quoted are exclusive of VAT, which is charged at the prevailing United Kingdom rate of 20%. A valid VAT invoice will be issued upon commencement of each billing period.
- Payment terms: 50% of the total Quotation Estimate value is due upon contract execution, with the remaining 50% payable in two equal monthly instalments at the midpoint and conclusion of the engagement period.
- Our Business Consultant will operate from the client's premises in Birmingham, United Kingdom, during core business hours (09:00–17:00, Monday to Friday). Travel within the Birmingham metropolitan area is included; travel beyond a 25-mile radius will be billed at £0.65 per mile.
- All work product, reports, and strategic documents produced by the Business Consultant shall become the sole property of Meridian Manufacturing Group Ltd upon full payment of the Quotation Estimate.
- Confidentiality: All information shared during the engagement is subject to a mutual Non-Disclosure Agreement (NDA) to be executed prior to commencement. This obligation survives for three (3) years post-engagement.
- Any additional services beyond the scope defined in this Quotation Estimate will be subject to a separate written amendment and additional fees at the Business Consultant's standard day rates.
- This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties and a definitive Service Agreement is executed.
- Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to acts of God, government regulation changes in the United Kingdom, or industrial action.
