The engagement encompasses a full-time Executive Chef, a sous chef, and a brigade of four (4) line cooks, all operating under the direct supervision and creative direction of the lead Chef.

The Chef will be responsible for designing seasonal menus that reflect the rich gastronomic heritage of Brazil São Paulo while incorporating international culinary techniques. The service includes menu planning, ingredient sourcing from local markets in São Paulo (including the Mercado Municipal and the Feira da Vila Madalena), kitchen operations management, food safety compliance in accordance with ANVISA and São Paulo municipal health regulations, staff training, and weekly quality audits. The Chef will also attend up to four (4) private client events per month, providing live cooking demonstrations, plated service, and bespoke menu creation for each occasion.

The total amount stated in this Quotation Estimate shall be paid in twelve (12) equal monthly installments of R$ 170,288.80, due on the 5th business day of each month via bank transfer (TED/PIX) to the account of São Paulo Culinary Services Ltda. The first installment is due within ten (10) business days of the formal acceptance of this Quotation Estimate. Late payments shall incur a monthly interest rate of 1.5% (juros moratórios) in accordance with Brazilian commercial law.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all prices and availability of the Chef team are subject to revision.
• The Chef and all kitchen personnel are employees of São Paulo Culinary Services Ltda. and are covered by full CLT (Consolidação das Leis do Trabalho) benefits, including FGTS, INSS contributions, and mandatory health insurance as required by Brazilian labor law.
• The Chef retains full creative authority over menu design. The client may request modifications, but final culinary decisions rest with the Chef to ensure quality and consistency.
• All services are to be rendered at the client's premises in Brazil São Paulo, unless otherwise agreed in writing. Travel outside the city of São Paulo will be quoted separately.
• The client is responsible for providing a fully equipped commercial kitchen, adequate storage, and all necessary utilities (water, electricity, gas) at the service location.
• Either party may terminate the engagement with a sixty (60) day written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date plus a penalty of two (2) months' fees.
• All intellectual property related to proprietary recipes, menu designs, and culinary techniques developed by the Chef during the engagement shall remain the property of São Paulo Culinary Services Ltda. The client receives a non-exclusive, non-transferable license to use such materials solely for internal corporate purposes.
• This Quotation Estimate does not constitute a binding contract until both parties execute the definitive service agreement. All terms herein are subject to the final contract terms.
• Disputes arising from this Quotation Estimate or the subsequent contract shall be resolved by arbitration in São Paulo, Brazil, under the rules of the CAM-ARB (Câmara de Arbitragem do Mercado), in the Portuguese language.
