1. SCOPE OF SERVICES — CHEF ENGAGEMENT IN JAPAN OSAKA

This Quotation Estimate is issued by Kansai Culinary Services Co., Ltd. to formally propose the engagement of a Chef for the operation of a premium Japanese-French fusion restaurant located in the heart of Japan Osaka. The proposed Chef will be responsible for menu development, kitchen management, staff training, and daily culinary operations at the client's establishment in the Dotonbori district of Osaka. This Quotation Estimate covers a twelve-month engagement period commencing September 1, 2025, through August 31, 2026.

The Chef proposed for this engagement is a certified Executive Chef with over fifteen years of experience in both traditional Japanese kaiseki cuisine and contemporary French gastronomy. The Chef holds a Michelin-star background and has previously operated in high-end establishments in Tokyo, Kyoto, and Osaka. The Chef will be based in Japan Osaka for the full duration of the contract and will report directly to the General Manager of the client's restaurant.

3. TERMS AND CONDITIONS OF THIS QUOTATION ESTIMATE

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing for the Chef engagement in Japan Osaka may be subject to revision based on market conditions, exchange rates, and labor market adjustments in Osaka Prefecture.
The Chef engagement described in this Quotation Estimate is contingent upon successful completion of a two-week paid trial period at the client's restaurant in Japan Osaka. During the trial, the Chef will be compensated at 80% of the stated monthly rate.
All payments referenced in this Quotation Estimate shall be made in Japanese Yen (JPY) via bank transfer to Kansai Culinary Services Co., Ltd., account held at Sumitomo Mitsui Banking Corporation, Osaka Main Branch. Payment terms are Net 30 days from invoice date.
The Chef shall comply with all food safety regulations enforced by the Osaka City Board of Education and the Ministry of Health, Labour and Welfare of Japan. Any violations resulting in fines or operational shutdowns shall be the sole responsibility of the Chef unless caused by client-provided equipment or facilities.
This Quotation Estimate does not include the cost of raw ingredients, kitchen equipment, or dining room furnishings. The client is responsible for procuring all consumables and capital assets for the restaurant in Japan Osaka.
Either party may terminate the Chef engagement with sixty (60) days written notice. In the event of early termination by the client without cause, a penalty equal to two months of the Chef's base salary shall be payable to Kansai Culinary Services.
The Chef is engaged as an independent contractor through Kansai Culinary Services Co., Ltd. and is not an employee of the client. All employment-related obligations, including pension contributions and workers' compensation, are managed by Kansai Culinary Services in accordance with Japanese labor law.
This Quotation Estimate is governed by the laws of Japan, and any disputes arising from the Chef engagement in Japan Osaka shall be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) in Osaka.
Confidentiality: Both parties agree that all proprietary menu designs, supplier lists, and operational strategies developed by the Chef during the engagement in Japan Osaka shall remain the exclusive intellectual property of the client.

4. ACCEPTANCE AND AUTHORIZATION

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms outlined herein for the engagement of the proposed Chef in Japan Osaka. This document, once countersigned, constitutes a binding service agreement between the parties.
